These Terms & Conditions (the “Terms”) govern the access to, browsing of and use of the Urban Archive Co. website, online store and any associated pages, functionality, content, services and transactional facilities made available through or in connection therewith (collectively, the “Website”), as well as any offer, order, purchase, transaction or other commercial relationship entered into through the Website between the person accessing, browsing or using the Website or purchasing any product made available thereon (“you,” “your,” “customer” or “user,” as the context may require) and the business operating under the trading name Urban Archive Co. (“Urban Archive,” “we,” “us” or “our”). By accessing or using the Website, submitting an order, purchasing a product or otherwise making use of any functionality made available through the Website, you acknowledge that you have had the opportunity to review these Terms and agree to be bound thereby to the extent permitted by applicable law. These Terms shall be read together with any product descriptions, specifications, notices, policies or additional conditions displayed on the Website and applicable to the relevant product, transaction or service, including, where applicable, our Privacy Policy, Cookie Policy and Shipping, Returns & Refunds Policy, each of which may govern particular aspects of your use of the Website or your contractual relationship with us. Nothing contained herein is intended, nor shall anything contained herein be construed, to exclude, restrict, waive, diminish or otherwise modify any right, remedy, warranty, liability or protection conferred upon a consumer by applicable mandatory law which may not lawfully be excluded, restricted, waived or modified by agreement.

Urban Archive Co. operates an online retail business through which we may from time to time offer artwork, printed products, framed or unframed products, decorative products, merchandise, apparel, accessories, household products, digital products and such other goods, product categories or services as may subsequently be introduced, modified, replaced, suspended or discontinued. Products offered through the Website may be manufactured, printed, produced, assembled, personalized, finished, packaged, stored, fulfilled or dispatched by us or by one or more independent production, manufacturing, printing, fulfillment, logistics, shipping or other service providers selected by us from time to time, and the identity, location or particular operational arrangements of such providers may vary according to the relevant product, destination, availability, production requirements or other commercial or operational considerations. Accordingly, the availability, materials, construction, production techniques, specifications, dimensions, weights, finishes, colors, packaging, manufacturing or fulfillment location and other characteristics of products may vary within reasonable commercial and manufacturing tolerances, and we reserve the right, subject always to applicable law, to add, modify, replace, suspend or discontinue products, configurations, materials, sizes, finishes, options, suppliers or production methods without prior notice.

We use reasonable efforts to ensure that descriptions, photographs, illustrations, digital previews, mockups, lifestyle imagery, renderings, specifications and other representations of products appearing on the Website are reasonably accurate; provided, however, that such materials are intended principally to facilitate the identification and evaluation of products and shall not, except where expressly stated or required by applicable law, constitute a guarantee that every visual or physical characteristic of the product will correspond precisely to its electronic representation. Without limitation, the appearance of colors, brightness, contrast, saturation, texture, scale, proportions and detail may vary as a consequence of the device, monitor, display calibration, browser, operating system, lighting conditions or other settings through which the Website is viewed, while physical products themselves may exhibit minor variations attributable to printing, cutting, manufacturing, assembly, framing, textile production, finishing, materials, production batches or other processes inherent in their manufacture. Dimensions, weights and specifications are approximate unless expressly represented as exact, and reasonable manufacturing tolerances shall not in themselves constitute a defect where they do not materially impair the intended use, overall character or conformity of the product. Certain products may intentionally reproduce or incorporate vintage, historical, archival, distressed, weathered, faded, aged, textured, worn, irregular, handmade or otherwise non-uniform characteristics, including apparent scratches, fading, discoloration, grain, visual noise, marks, irregular edges, historical artifacts, textural effects or apparent imperfections; where such characteristics form part of the intended artwork or design, their presence shall not of itself constitute damage, non-conformity or manufacturing defect. Customers are responsible for reviewing all product descriptions, dimensions, specifications, configurations and other information reasonably made available before placing an order and should not rely solely upon the apparent dimensions or scale of products represented in lifestyle photographs, room scenes or other illustrative material.

The inclusion or display of a product on the Website does not constitute a guarantee of continuing availability and shall not oblige us to maintain any particular product, configuration, material, dimension, color, finish or other option indefinitely. By submitting an order through the Website, you make an offer to purchase the products selected in accordance with these Terms, the product information presented in connection with the relevant products and any additional conditions disclosed before or during checkout. You are responsible for reviewing the contents and accuracy of your order prior to submission, including without limitation the product, design, quantity, size, dimensions, color, configuration, personalization or customization information, billing information, delivery address and any other selections or instructions provided by you. An electronic communication acknowledging receipt of an order constitutes confirmation that the order has been received but shall not necessarily constitute final acceptance of such order where further authorization, verification, production availability or other processing remains necessary. Subject to applicable law, we reserve the right to refuse, limit, suspend or cancel an order where reasonably justified by circumstances including, without limitation, payment authorization failure, suspected fraudulent or unauthorized activity, an obvious pricing or technical error, product or material unavailability, production or fulfillment limitations, delivery restrictions, duplicate transactions, misuse of promotions or circumstances making fulfillment unlawful or commercially impracticable. Where we cancel an order after having collected payment and the relevant product has not been supplied, any amount required to be returned shall be returned in accordance with applicable law.

Many products made available through the Website may be produced specifically in response to an individual order rather than maintained as completed inventory, and production, printing, manufacturing, customization or fulfillment may commence shortly after checkout or payment authorization. Accordingly, once production, personalization, customization or fulfillment has commenced, modification or cancellation of an order may no longer be operationally possible, subject to any mandatory rights available under applicable law. Where customization or personalization is available, the customer bears responsibility for ensuring that any text, selections, files, specifications, dimensions, instructions or other information supplied for such purpose is complete and accurate, and, except where otherwise required by law, an error reproduced accurately from customer-supplied information shall not constitute an error attributable to us. We reserve the right to reject personalization or customization requests which are technically impracticable, unlawful, infringing, fraudulent or otherwise inappropriate.

Prices shall be those displayed on the Website in the currency indicated at the time the relevant transaction is completed, subject to correction of obvious errors to the extent permitted by applicable law. Prices and product offerings may be modified prospectively without notice, but subsequent changes shall not ordinarily affect an order already accepted. Applicable sales taxes, value-added taxes, transaction taxes, shipping charges or other charges shall be displayed, calculated or collected where and to the extent required by applicable law. Products may be manufactured, printed, produced, assembled, packaged, fulfilled and shipped from different facilities and through different independent providers, and products forming part of a single order may therefore be produced or dispatched separately, arrive in separate packages, bear separate tracking information or be delivered at different times. Any production, fulfillment, shipping, transit or delivery period communicated through the Website or otherwise is an estimate unless expressly identified as guaranteed and may be affected by order volume, production capacity, product or material availability, equipment problems, quality-control requirements, carrier operations, holidays, weather, transportation interruptions, customs procedures where applicable, address problems, recipient availability and other circumstances beyond our reasonable control. Customers are responsible for providing complete and accurate delivery information before checkout. Once an order has entered production, fulfillment or shipment, alteration, correction or redirection of the delivery address may no longer be possible. Shipping availability, methods, carriers, costs, promotional shipping arrangements and geographical limitations may vary according to the product, destination and order and shall be governed additionally by the Shipping, Returns & Refunds Policy and information displayed during checkout. Risk of loss and legal title shall pass in accordance with applicable law and the circumstances of delivery, and nothing herein shall modify mandatory consumer rules concerning delivery, conformity or risk.

In the event that a product is alleged to have arrived damaged, materially defective, materially different from that ordered or where an incorrect product has been delivered, the customer should notify us promptly through the Contact Us form available on the Website and provide such information as may reasonably be necessary to identify the transaction, investigate the circumstances and evaluate the claim, which may include the relevant order number, a description of the issue and photographs of the product, packaging, shipping materials or other relevant evidence. Customers should retain the affected product and its packaging while a claim is under review unless instructed otherwise. Depending upon the circumstances and applicable law, an appropriate remedy may consist of replacement, repair, refund or such other remedy as may be required or appropriate. Where a replacement is supplied, the replacement may require fresh production and may consequently be subject to production and delivery periods comparable to those applicable to a new order. Where a refund is approved or required, it will ordinarily be issued to the original payment method unless another method is required or agreed, and the time required for the corresponding credit to become visible may depend upon the payment provider, card issuer or financial institution concerned.

Return, exchange, cancellation and refund eligibility shall depend upon the nature of the product, whether the product was manufactured, printed, customized or otherwise produced specifically in response to an order, the circumstances giving rise to the request and applicable mandatory law. Because products may be made to order, discretionary returns based solely upon a change of mind, an incorrect customer selection, personal preference or a subsequent determination that a product is no longer wanted may not be accepted except where a right of withdrawal, cancellation, conformity, warranty or other remedy applies as a matter of mandatory law. Requests to modify or cancel an order should be submitted as soon as reasonably possible, but submission of such a request does not constitute confirmation that modification or cancellation remains possible once production, customization, fulfillment or other performance has commenced. The Shipping, Returns & Refunds Policy made available on the Website contains additional provisions applicable to these matters and forms part of these Terms to the extent applicable to the transaction.

From time to time we may make available promotional pricing, discount codes, shipping promotions, bundles, gifts, limited-duration offers or other promotional arrangements, which may be subject to separate eligibility requirements, exclusions, geographic restrictions, minimum purchase amounts, expiration dates, usage limitations or other conditions. Unless expressly stated otherwise, promotional benefits may not be combined. Subject to applicable law, we may refuse, withdraw, cancel or correct a promotional benefit or transaction where an obvious error, unauthorized code distribution, manipulation, fraud, automated abuse or other misuse has occurred. The withdrawal or amendment of a promotion shall not affect rights already vested in a completed transaction except where otherwise permitted by law.

Unless expressly indicated otherwise, all artwork, photography, illustrations, designs, graphics, compositions, text, product imagery, product presentations, Website layouts, logos, trademarks, trade names, branding and other creative, proprietary or intellectual content displayed, embodied or made available through Urban Archive Co. are owned by, licensed to or otherwise lawfully used by Urban Archive Co. and may be protected under copyright, trademark, design, unfair-competition and other intellectual-property laws. The purchase of a physical product containing or displaying artwork, photography, illustration, graphics, designs or other protected content transfers only such rights in the particular physical object as arise under applicable law and does not transfer copyright, reproduction rights, trademark rights, licensing rights, digital rights, manufacturing rights or any other intellectual-property rights in the underlying work. Except where permitted by applicable law or expressly authorized, customers and Website users may not reproduce, scan, copy for reproduction, digitally distribute, republish, manufacture, sublicense, commercially exploit, create unauthorized derivative products from or otherwise use protected Urban Archive Co. content for commercial purposes. Website preview images may incorporate watermarks, reduced resolution, compression, cropping, overlays or other protective or presentational measures which, unless expressly indicated otherwise, are not intended to appear on the final physical product.

Where digital products are made available, any additional terms displayed in connection with the relevant digital product shall govern permitted downloading, reproduction, licensing and use. Unless expressly stated otherwise, acquisition of a digital product confers only the usage rights specifically granted in connection with that product and does not transfer copyright or ownership of the underlying intellectual property. Digital products may, where permitted by applicable law, be subject to different cancellation or withdrawal rules from physical goods once downloading, access or performance has commenced.

The Website may be used only for lawful purposes. Users shall not use or attempt to use the Website in a manner intended to commit or facilitate fraud, interfere with Website operation or security, obtain unauthorized access to accounts, networks, systems or information, introduce malicious or harmful software, impersonate another person, submit unauthorized payment information, infringe intellectual-property or other third-party rights, systematically extract or scrape protected content for unauthorized commercial exploitation, interfere with other users or otherwise engage in conduct contrary to applicable law or these Terms. The Website may additionally contain links to independent third-party websites, resources or services, and, unless expressly stated otherwise, the inclusion of such links shall not constitute an endorsement of or assumption of responsibility for the independent content, security, availability, products, services, contractual terms or privacy practices of the third-party destination.

Personal information collected or otherwise processed in connection with the Website, transactions and customer interactions shall be handled in accordance with our Privacy Policy and Cookie Policy, which provide additional information concerning the categories of information processed, purposes of processing, service providers, retention, cookies and similar technologies, privacy choices and applicable data-protection rights. We may communicate electronically with customers in relation to orders, transactions, payments, production, fulfillment, delivery, security, legal notices, customer-service matters and other matters reasonably connected with the commercial relationship, and customers are responsible for supplying a valid contact address and reviewing communications reasonably associated with their transactions.

To the maximum extent permitted by applicable law, neither Urban Archive Co. nor persons acting on its behalf shall be liable for indirect, incidental, special, exemplary, punitive or consequential damages or losses arising out of or relating to use of or inability to use the Website, purchase or use of products, third-party services, interruptions, delays or other matters governed by these Terms to the extent that such liability may lawfully be excluded or limited. Nothing contained in this paragraph or elsewhere in these Terms shall exclude or restrict liability, statutory warranties, conformity obligations, consumer remedies or other protections where such exclusion or restriction is prohibited by applicable law.

To the extent permitted by applicable law, a user may be responsible for losses, claims, liabilities or reasonable costs arising directly from that user's unlawful or fraudulent use of the Website, infringement of third-party rights or material breach of these Terms, provided that nothing herein shall impose upon a consumer any liability which would be inconsistent with mandatory applicable law. No failure or delay by us in exercising or enforcing any right shall of itself constitute a waiver thereof, nor shall any waiver relating to one circumstance constitute a continuing waiver or a waiver in respect of another circumstance. If any provision or part of a provision of these Terms is held by a competent court or authority to be invalid, unlawful or unenforceable, such provision shall, where permissible, be interpreted, limited or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. We reserve the right to modify products, services, suppliers, production arrangements, fulfillment arrangements, carriers, payment methods, Website functionality and other operational aspects of our business from time to time and may revise these Terms where reasonably necessary to reflect changes in products, services, technologies, commercial practices, operational arrangements or legal requirements. Revised Terms shall be made available through the Website with the applicable revision date. Unless otherwise required by applicable law, the contractual terms applicable to a particular completed purchase shall generally be those in effect when the relevant order was placed.

These Terms and contractual relationships arising through the Website shall be governed by the law applicable to the business entity operating Urban Archive Co., subject in all cases to mandatory consumer-protection provisions, jurisdictional protections, choice-of-law rules and other rights which applicable law does not permit the parties to exclude or modify. For purposes of construction, headings, if any, are included solely for convenience and shall not independently determine the scope or interpretation of any provision; words such as “including,” “includes,” “in particular,” “for example” and expressions of similar import shall be construed as illustrative and not exhaustive unless the context clearly requires otherwise; references to a law or legal requirement include applicable amendments, replacements and subordinate requirements; references to the singular may include the plural and vice versa where appropriate; and no ambiguity shall be presumed merely by reason of a provision having been drafted or proposed by one party.
